1. Agreement to Terms

These Terms constitute a legally binding agreement between you and Diginuance, a software development and SaaS company operating at diginuance.com, Islamabad/Rawalpindi, Pakistan. By accessing our website or using our services, you agree to be bound by these Terms.

2. Services

• Custom software and web/mobile application development
• SaaS product development and subscription-based access
• IT consulting, digital transformation, and technical advisory
• UI/UX design and product strategy
• Ongoing maintenance and support contracts

3. User Accounts & Access

• You are responsible for maintaining confidentiality of your login credentials
• Notify us immediately of any unauthorized access
• Provide accurate, current, and complete registration information
• We reserve the right to suspend accounts that violate these Terms

4. Payment & Billing

4.1 Fees

Service fees are as specified in your service agreement or subscription plan. Prices are in PKR or as otherwise stated.

4.2 Payment Gateway

Payments may be processed via PayFast or other authorized payment gateways. By making a payment, you agree to the respective gateway’s terms.

4.3 Late Payments

Late payments may result in service suspension. Diginuance reserves the right to withhold deliverables until outstanding invoices are cleared.

4.4 Taxes

All fees are exclusive of applicable taxes (including sales tax or FED) unless stated otherwise.

5. Intellectual Property

5.1 Custom Developments

Upon full payment, clients receive ownership rights to custom-developed deliverables. Diginuance retains ownership of underlying frameworks and pre-existing tools.

5.2 SaaS Products

Our SaaS platforms are the sole intellectual property of Diginuance. Subscriptions grant a limited, non-exclusive license. No reverse engineering or redistribution is permitted.

6. Acceptable Use

You agree NOT to use Diginuance services to:

• Violate any applicable local, national, or international laws
• Infringe upon the intellectual property rights of others
• Transmit harmful, offensive, or illegal content
• Engage in fraud, hacking, spamming, or malicious activities
• Attempt to reverse engineer or compromise our systems

7. Limitation of Liability

To the fullest extent permitted by law, Diginuance shall not be liable for indirect, incidental, or consequential damages, loss of data, or loss of profits. Our total liability shall not exceed fees paid in the 3 months preceding the claim.

8. Termination

• Either party may terminate with written notice as per the contract
• All outstanding fees become immediately payable upon termination
• Clauses related to IP, confidentiality, and liability survive termination

9. Governing Law

These Terms are governed by the laws of the Islamic Republic of Pakistan. Disputes will be referred to the courts of Islamabad, which shall have exclusive jurisdiction.

10. Force Majeure

Diginuance shall not be held liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, government actions, or internet outages.
